Terms of Service

These Terms of Service ("the Terms") govern your access to and use of the PARROTSIGHT MaaS platform, website, API and related services ("the Services") provided by PARROTSIGHT TECHNOLOGY SDN. BHD. ("PARROTSIGHT", "we", "us" or "our"). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
Agreement to These Terms
These Terms, together with our Privacy Policy, the Data Processing Agreement and any order form or service schedule you have executed, form the entire agreement between you and PARROTSIGHT concerning the Services. Capitalised terms used but not defined in these Terms have the meanings given in the applicable service schedule.
We may modify these Terms from time to time. We will provide reasonable notice of material changes through the Services or by email. Your continued use of the Services after the effective date of a change constitutes acceptance of the revised Terms.
Service Description
The Services provide programmatic access to PARROTSIGHT's catalogue of managed AI models, including vision understanding, threat detection, content safety, document intelligence, multilingual language models and vector embeddings, together with the console, API keys, usage metering and related tooling.
The Services are provided on an as-available basis and may be updated, modified or deprecated from time to time. We will use commercially reasonable efforts to provide advance notice of substantive changes, including model deprecations and breaking API changes.
Accounts and Registration
You must provide accurate and complete information when creating an account and keep that information current. You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account. You must notify us immediately of any suspected unauthorised use.
Accounts are granted for your internal business purposes and are non-transferable. We reserve the right to suspend or restrict accounts that we reasonably believe are compromised, abusive or in breach of these Terms.
API Usage Limits and Quotas
Use of the Services is subject to rate limits, quotas and throughput constraints associated with your plan, as described in the console and documentation. You must not circumvent, bypass or attempt to defeat these limits, including by creating multiple accounts or rotating keys for the purpose of exceeding entitlements.
We may impose temporary service-specific limits during maintenance or in response to abuse, and we will endeavour to notify you where such limits materially affect your usage.
Acceptable Use Policy
You may not use the Services to generate, distribute or facilitate content or activity that is unlawful, defamatory, infringing, discriminatory or harmful, or that violates the rights of any third party. You may not probe, scan or attack our infrastructure, interfere with the Services, or attempt to extract or replicate the underlying models by unauthorised means.
You are solely responsible for the inputs you submit to the Services and for ensuring that your use complies with all applicable laws and regulations, including those governing data protection, export and sector-specific requirements in your jurisdiction.
Billing and Payment
Fees for the Services are usage-based and calculated in accordance with the pricing published on our website or agreed in your service schedule. Usage is metered against your API calls and tokens, and invoices are issued on the cadence specified for your plan.
All fees are payable in the currency stated on the invoice and are non-refundable except as required by law or expressly stated in these Terms. We may suspend access to the Services if payment is overdue beyond the period specified in your service schedule.
Service Level Commitments
Our service level commitments, including availability targets and support response times, are set out in the applicable service schedule or the Service Level Agreement referenced in your order form. The commitments apply only to production plans that expressly include them.
Nothing in these Terms guarantees uninterrupted service. We may schedule maintenance from time to time, and we will use reasonable efforts to minimise disruption and to notify you of planned maintenance affecting availability.
Limitation of Liability
To the maximum extent permitted by law, PARROTSIGHT shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunity, arising out of or in connection with the Services.
Our aggregate liability under these Terms, whether in contract, tort or otherwise, shall not exceed the amounts actually paid by you for the Services during the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded by law.
Termination and Suspension
Either party may terminate these Terms by providing notice in accordance with the termination provisions of your service schedule. We may suspend or terminate access immediately if you materially breach these Terms, including the Acceptable Use Policy, or if continued provision would present a legal or security risk.
Upon termination, your right to use the Services ceases and your account data will be retained or deleted in accordance with our retention practices and applicable law. Any fees accrued prior to termination remain payable.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. The parties submit to the exclusive jurisdiction of the courts of Malaysia for any dispute arising out of or in connection with the Services.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation between senior representatives, and thereafter, where agreed, through mediation administered by a recognised institution in Malaysia.
